The Franchise Manual serves to document all the fundamental know-how of a franchise system. Although it is not mandatory for franchise operations to produce a manual, it has become established practice to rely on this form of knowledge transfer.

At its core, this involves the detailed development of guidelines and processes by franchisors to show new franchise partners how best to run their (future) operations.

To maintain adherence to these standards within a system over the long term, the franchise manual must be updated on a regular basis. This is particularly important when adjustments are made to structures that are instrumental to the success of franchisees.

The franchise manual is the foundation that ensures all franchise partners know what needs to be done, what is permitted, how things are handled in day-to-day operations – and, crucially, how they are not.

It serves as a training resource, a reference guide, and a means of ongoing communication for franchisees and all staff members.

The 3 Parts of a Franchise Manual

The franchise manual consists of 3 distinct parts:

  2. non-binding recommendations and
  3. binding guidelines.

 

2. Non-Binding Recommendations

In addition to the descriptions outlined above, the manual also contains non-binding recommendations — for example, guidance on how to approach troubleshooting errors in the system application. In this respect, the franchise manual differs little from a standard IT manual.

 

3. Binding Guidelines

Binding guidelines are particularly important. They carry contractual weight, as they contain details that could not be included in the franchise agreement due to their scope or the need for flexibility. Common examples include guidelines covering the service portfolio, brand design, marketing strategies, supply sources, training and development, and controlling.

Guidelines must be clearly highlighted and identifiable, as they constitute the general terms and conditions of the franchise system and are therefore subject to the so-called transparency requirement.

When do you get access to a franchise system's operations manual?

Prospective franchisees typically gain access to the operations manual during contract negotiations, after signing a non-disclosure agreement. The franchise system is obliged by the "pre-contractual disclosure duty" to grant this access.

As this involves highly sensitive information, it is understandable that franchisors are very careful about who they share this information with, and when.

It is equally important, of course, for prospective franchisees to be able to satisfy themselves as thoroughly as possible that the know-how they are paying for will also hold up as a solid foundation for starting their business.

The interests of both parties must therefore be aligned as closely as possible.

The value of the franchise manual for partner businesses is created above all through practical, detailed descriptions of day-to-day tasks. Good manuals do not focus primarily on macro topics such as market conditions or company policy, but instead concentrate on documenting workflows that increase productivity and customer satisfaction.
